Terms of Service for the “kelbroo” SaaS platform

Version 2026-08-28

Translation. This is an informative translation of the Polish document Regulamin świadczenia usługi SaaS „kelbroo”. In the event of any discrepancy between the language versions, the Polish version prevails and it alone is the basis for interpreting the contract.

The service is strictly B2B (business-to-business).

§1. Definitions

  1. Provider – Kelbroo, ul. Rodła 24/4, 01-496 Warsaw, Poland, VAT ID (NIP): 5222269366. Contact e-mail address: kontakt@kelbroo.com.
  2. Service – the SaaS platform at kelbroo.com, panel.kelbroo.com and menu.kelbroo.com, used by Guests to browse the menu and place orders (QR codes) and by staff to manage them.
  3. Client – a business (B2B) holding an active contract with the Provider.
  4. Guest – a person in the Client’s venue using the QR menu. The Guest does not create an Account and does not enter into a contract with the Provider.
  5. Trial period – 14 days of use of the Pro plan free of charge and without providing payment card details.
  6. Billing period – the monthly or annual period for which the fee is charged. The period starts on the day the package is purchased. Where the following month has no corresponding day, the period ends on the last day of that month. Purchasing a new package during an ongoing Billing period extends it by the newly purchased period.

§2. Conclusion of the contract

  1. The contract is concluded when the Account is registered.
  2. The Service is exclusively B2B. The application of any consumer-protection provisions (including those for so-called sole traders with consumer rights) is excluded.

§3. Scope of the Service and technical support

  1. The Service covers an electronic menu, QR codes, browser-based order taking and the staff panel (queueing, kitchen display).
  2. The Service does not constitute a fiscal cash register. All settlements and records within the system are auxiliary only.
  3. Technical support: The Provider’s staff may access the Client’s Account (in view mode) solely for servicing purposes at the Client’s express request (a fault report). Every such access is logged in the system.

§4. The Client’s obligations and sole liability

  1. Menu and allergens: The Client bears sole and full responsibility for the content of the menu and for correct information on allergens, ingredients and prices.
  2. Disputes with Guests and refunds: The Provider is merely a software supplier. All Guest claims (e.g. the quality of dishes, an order not being fulfilled) and all refund matters (including marking refunds in the panel) are borne solely by the Client. Where an in-app option to report problems is introduced, the Provider only forwards the content of the report to the Client.

§5. Fees and subscription plans

  1. The Service is provided for a fee. Net prices (VAT to be added):
Plan Monthly (net) Annually (net) Annual discount
Menu PLN 0 – –
Starter PLN 159 PLN 1,590 −17%
Pro PLN 349 PLN 3,490 −17%
Enterprise from PLN 899 agreed individually –

Prices are set and settled in Polish zloty (PLN). Amounts shown in euro elsewhere on the site are informative and converted at an indicative rate.

  1. The Provider charges the Client no commission on Guest orders.
  2. The Client purchases and renews the Starter and Pro plans entirely self-service through the payment panel.
  3. Fees are charged in advance. On termination of the contract, no pro-rata refund for unused time is provided.

§6. Suspension, expiry and data retention

  1. Failure to pay the fee for the next Billing period results in automatic suspension of the ordering module for Guests and in new orders being blocked in the staff panel.
  2. While suspended, settling open bills, serving current orders from the kitchen and access to history remain available to staff.
  3. Deletion of data: If the Account remains unpaid for 6 months from the expiry of the last subscription, the Provider is entitled to delete the Account. Deletion means the permanent erasure of personal data and of the venue’s configuration. The Provider retains the right to keep anonymised statistical transaction data. The Client will be informed of the planned deletion by e-mail 30 days in advance.

§7. Guest online payments module (payment initiation)

  1. Where the Client activates online payments for Guests, transactions are settled directly into the Client’s account with an external payment operator (e.g. PayU). The Provider does not intermediate in the transfer of funds (it is not a payment service provider).
  2. The Client hereby authorises the Provider to store securely the API keys/credentials for the Client’s account with the operator and to initiate transactions technically on the Client’s behalf through the Service.

§8. The Provider’s liability (no SLA)

  1. The Provider supplies the Service with the utmost care but grants no SLA (Service Level Agreement) as to freedom from faults or continuity of operation.
  2. Statutory warranty for physical and legal defects is entirely excluded.
  3. The Provider’s liability is limited to damage caused intentionally and is capped at the total fees for the last 3 months. Liability for lost profits (lucrum cessans) is excluded.

§9. Termination

  1. The Client may terminate the contract at any time by sending a statement to the e-mail address kontakt@kelbroo.com. Termination takes effect at the end of the Billing period currently paid for.

§10. Data processing agreement (DPA)

  1. The Client (as Controller) entrusts the Provider (as Processor) with the processing of the personal data of Staff and Guests (including pseudonymous data and immutable activity logs).
  2. The Provider declares that the infrastructure is located in Germany (Frankfurt), that traffic is encrypted (HTTPS) and that passwords are hashed (bcrypt). Hard data isolation is applied at database level (Row-Level Security).
  3. The infrastructure sub-processor is Hostinger.com.

§11. Changes to the Terms

  1. The Provider gives notice of changes to the e-mail address 14 days in advance. No objection means acceptance.

The document enters into force on the day it is published on the kelbroo platform website.
